These terms govern your use of SpendNexus. We've written them to be clear and fair— if something doesn't make sense, please reach out.
Agreement to Terms
By accessing or using SpendNexus ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service.
Use of the Service
You may use the Service only in compliance with these Terms and all applicable local, state, national, and international laws and regulations.
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Ensuring that information you provide is accurate and up-to-date
- Notifying us immediately of any unauthorized access
We are not liable for losses resulting from unauthorized access due to your actions or negligence.
Account Registration
To use certain features, you must register for an account. When you register, you must:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Be at least 18 years old or have parental consent
We reserve the right to refuse registration or cancel accounts that violate these Terms.
Subscriptions & Billing
Plans & Pricing
Some features require a paid subscription. Current pricing and plan limits are described on our pricing page. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.
Billing
Subscriptions are billed on a recurring monthly basis. By subscribing, you authorize us to charge your payment method automatically until you cancel.
Cancellation
You may cancel your subscription at any time via the **LemonSqueezy Customer Portal**, accessible through your account settings. Cancellations take effect at the end of the current billing period. You'll retain access to paid features until that date.
Refunds
We offer a 14-day money-back guarantee for first-time subscribers. Beyond this period, we do not offer refunds for partial billing periods. Please refer to our Refund & Cancellation Policy for more details.
Data Ownership & License
Your Data
You retain all ownership rights to data you enter into SpendNexus. We claim no intellectual property rights over the content you provide.
License to Us
By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.
Data Export
You can export your data at any time in CSV format. We'll also provide your data upon request within 30 days.
Data Protection & GDPR
We are committed to protecting your privacy and complying with the General Data Protection Regulation (GDPR).
- Data Processor: For business users, SpendNexus acts as a Data Processor, and the user acts as the Data Controller.
- Data Location: All customer data is stored on secure servers located within the European Union.
- Security: We implement appropriate technical and organizational measures to protect your data.
Acceptable Use Policy
You agree not to use SpendNexus to:
- Violate any applicable laws or regulations
- Infringe upon others' intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt to access other users' accounts or data
- Interfere with or disrupt the Service's operation
- Reverse engineer, decompile, or extract the source code
- Use the Service for competitive analysis or benchmarking
- Resell or redistribute the Service without authorization
Violations may result in immediate account suspension or termination.
Service Availability
We strive to keep SpendNexus available and reliable. However, we do not guarantee:
- Uninterrupted or error-free operation
- That defects will be corrected immediately
- That the Service will meet your specific requirements
Scheduled maintenance, updates, or technical issues may cause temporary downtime. We'll notify users of planned maintenance when possible.
Intellectual Property
The Service, including its design, features, and functionality, is owned by SpendNexus and protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, or create derivative works based on the Service without our explicit written permission.
Disclaimers & Limitation of Liability
Service "As Is"
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the maximum extent permitted by law, SpendNexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising from:
- Your use or inability to use the Service
- Unauthorized access to or alteration of your data
- Statements or conduct of any third party on the Service
- Any other matter relating to the Service
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold harmless SpendNexus and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.
Termination
By You
You may terminate your account at any time by contacting support or through your account settings. Upon termination, you'll lose access to the Service and your data will be deleted within 60 days.
By Us
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent activity. We'll provide notice when possible.
Termination does not affect any obligations that, by their nature, should survive (such as payment obligations for services already rendered).
Changes to Terms
We may update these Terms from time to time. When we do, we'll:
- Post the updated Terms on this page
- Update the "Last updated" date
- Notify you via email for significant changes
Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you disagree with changes, you may terminate your account.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the India and the State of Maharashtra, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. You and SpendNexus agree to waive any right to a jury trial or to participate in a class action lawsuit.
Miscellaneous
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and SpendNexus regarding the Service.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
